Setting up a business in Boten SEZ: step by step
The Boten Beautiful Land Specific Economic Zone operates a one-stop service centre that consolidates company registration, investment licensing, tax registration and work-permit processing in a single office inside the zone. For well-prepared applicants, the journey from first enquiry to an issued investment licence takes 45–90 working days. Here is the process as it actually runs.
Step 1 — Define your activity and check the promoted list
Boten SEZ actively promotes eight verticals: logistics and warehousing, light manufacturing, agro-processing, tourism and hospitality, retail and duty-free commerce, financial services, technology and digital services, and education-healthcare. Activities on the promoted list qualify for the full incentive package described in our tax incentives guide. Activities outside the list can still be licensed but on standard Lao terms. Note that gambling operations are prohibited inside the zone — investors interested in gaming should review the regional casino landscape instead.
Step 2 — Prepare the application file
The one-stop centre expects: a business plan with three-year projections; corporate documents of the investing entity (notarised and, where applicable, consularised); passport copies of directors and the appointed legal representative; proof of capital; and a lease or land-use intention letter for premises inside the zone. Documents in English are accepted; Chinese and Lao translations speed up internal circulation.
Step 3 — Investment licence and company registration
The zone authority issues the investment licence and enterprise registration certificate together — a meaningful simplification over the standard Lao process, which involves the Ministry of Planning and Investment and the Ministry of Industry and Commerce separately. Minimum registered capital varies by sector; service businesses typically start around US$40,000–100,000 equivalent, with higher thresholds for trading and manufacturing.
Step 4 — Land, premises and construction
Land inside the SEZ is leased from the zone developer on terms of up to 99 years, transferable and mortgageable under the zone's land rules. Ready-built options include standard factory shells in the logistics park, retail units near the duty-free mall, and serviced plots for hotel and mixed-use development. Construction requires a zone-issued building permit; the authority's design-review turnaround is typically 15–30 working days.
Step 5 — Tax, customs and staffing
After licensing, the one-stop centre registers the company for tax and (for importers/exporters) customs. Promoted-sector companies import machinery and production raw materials at 0% duty. Hiring mixes Lao and foreign staff; the zone issues multi-year work permits for foreign specialists, with personal income tax capped at 5% for qualifying specialists in promoted sectors. Mandarin-language accounting and legal support is widely available inside the zone, alongside Lao and English.

Common pitfalls
The applications that stall almost always share one of three problems: an unclear activity description that doesn't map to the promoted list; capital proof that doesn't match the business plan's funding schedule; or premises plans that conflict with the zone's land-use map. A site visit before filing resolves most of these — the November–February cool season is the most practical window for a combined site visit and orientation trip.
